We have carried out a wide range of takeover transactions including
recommended offers, hostile takeovers and defences. In addition
to advising on the terms and execution of an offer, we also specialise
in raising funds to finance an offer if required.
When acting for an acquiror, we provide initial strategic advice
and negotiation, help to prepare formal offer documentation and
make the offer on our client’s behalf. We will also carry
out shareholder solicitation campaigns and share purchases in support
of an offer.
When acting for a target company, whether the approach has been
hostile or friendly, we assist the Board in evaluating the proposed
offer. The decision whether to recommend the offer is based on a
number of factors including the price and terms offered, the suitability
of the offeror and the availability of alternative strategic options.
As well as helping the Board to assess these issues, we play a major
role in negotiations to achieve the optimal outcome for the company
and its shareholders.
